The maker of Devin and Devin Desktop is reportedly in talks to raise $1 billion at a $47 billion valuation, with annualized revenue now exceeding $900 million.
Cognition is in talks to raise approximately $1 billion at a valuation of about $47 billion, Bloomberg reported on September 2. The proposed round comes just three months after the company raised $1 billion at a $26 billion pre-money valuation — and would represent an 81% increase in that window.
Revenue has been the story. Cognition’s annualized run rate has grown to more than $900 million, up from $492 million in late May — roughly 83% growth in the span of a single quarter.
The round hasn’t closed. Terms remain subject to change. But investor interest reportedly reached nearly $10 billion, which is enough that the final raise could exceed $1 billion.
How it got here
Three data points define Cognition’s trajectory:
- September 2025: $400 million raised at a $10.2 billion valuation
- May 2026: $1 billion raised at a $26 billion valuation
- September 2026: $1 billion targeted at a $47 billion valuation
At each interval, valuation roughly doubled while revenue grew faster than the multiple expanded. That’s the specific combination investors are paying for.
The SpaceX acquisition of Cursor — closed in August at $60 billion — has also shifted how investors are pricing AI coding assets. With the largest competitor in the space now off the market, Cognition is one of the few remaining independent platforms at scale, which affects what buyers are willing to pay.
What Cognition now sells
Cognition’s product lineup has grown well past Devin, the autonomous coding agent it launched as a research preview in 2024.
Devin remains the core: an AI engineering agent that takes on work like legacy migrations, test suite generation, and codebase modernization. Enterprise customers include Goldman Sachs, Citi, the U.S. Army, and the U.S. Navy.
Devin Desktop — the IDE formerly known as Windsurf — was rebranded in June 2026 after Cognition acquired the product from Codeium’s remnants following Google’s talent deal with Windsurf’s founding team. Windsurf’s original pricing was replaced with Cognition’s unified Devin plan structure.
Devin CLI and Devin Review round out the platform, extending Devin’s capabilities into terminal workflows and pull request automation.
The Windsurf acquisition was a significant factor in Cognition’s ARR growth. Adding an established IDE with its own user base accelerated revenue compounding that would have taken longer to achieve through Devin alone.
The multiple math
At $47 billion on roughly $900 million in ARR, the implied revenue multiple is around 52x — similar to where Cognition traded in May when it raised at $26 billion on $492 million ARR. Revenue is growing fast enough that the multiple hasn’t compressed even as the absolute valuation climbs.
Whether that’s sustainable depends on how long enterprise spending on AI coding agents keeps accelerating. The data so far says fast: Cognition’s enterprise usage grew 50% month-over-month for six consecutive months through mid-2026.
